Marye Helen Owen
Ms. Owen concentrates her practice in the areas of business law, tax law, mergers and acquisitions (tax-free and taxable), business and wealth planning, securities, timber and forest products, real estate investment trusts, commercial lending and the secondary mortgage market. Ms. Owen is the former General Counsel of Anderson-Tully Company, an integrated forest products company and one of the first timber real estate investment trusts. Ms. Owen has extensive experience in forming and structuring business organizations, as well as advising clients regarding private securities offerings, shareholder agreements, employment agreements, confidentiality agreements, general business contracts, and like-kind exchanges. She also has extensive experience representing clients in acquiring, selling and investing in businesses in a variety of industries. Her field of commercial lending includes structuring, documenting and negotiating commercial loans, multi-state lending transactions,real estate and asset-based loan transactions, purchases and sales of commercial real estate, loan modifications and work-outs. Her secondary mortgage market experience includes structuring, documenting and negotiating sales of commercial and residential mortgage loans, automobile loans, other asset-based loans, participation interests and servicing rights related thereto. Ms. Owen has advised a variety of nonprofit organizations regarding issues of formation, structuring, compliance, joint ventures, for-profit subsidiaries, unrelated business taxable income, tax reporting and fundraising. In addition, she has been a speaker at various conferences and meetings, focusing on tax, corporate issues and estate planning.
